Terms of Service

Important AI Accuracy Disclaimer
DocuVigil uses advanced AI to identify legal risks, missing clauses, and negotiation opportunities. We have worked hard to make our analysis accurate, comprehensive, and reliable — but AI can make mistakes. Our agents may miss clauses, misinterpret context, or produce inaccurate assessments in edge cases. This analysis is not a substitute for qualified legal counsel. Always consult a licensed attorney before making binding legal decisions. DocuVigil, its founders, and its technology providers accept no liability for decisions made based solely on AI-generated analysis.
1. Acceptance of Terms
By accessing DocuVigil or uploading any document, you confirm that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and all applicable laws. If you do not agree, do not use the service.
2. Nature of the Service — Not Legal Advice
DocuVigil provides AI-powered contract analysis for informational and educational purposes only. The output of any audit — including risk scores, red flags, omission lists, and counter-offer language — constitutes automated analysis, not legal advice.
Nothing in any DocuVigil report creates an attorney-client relationship. You should not act on any DocuVigil analysis without first consulting a qualified, licensed attorney familiar with the specific laws of your jurisdiction.
3. AI Limitations & Accuracy
We have invested significantly in the accuracy of our AI agents. However, by the inherent nature of large language models:
- The AI may hallucinate clauses, risks, or legal citations that do not exist.
- The AI may fail to identify risks that are present in the document.
- Jurisdictional analysis may be incomplete or incorrect.
- Counter-offer language is generated automatically and may not be appropriate for your situation.
- Analysis quality depends on document legibility and upload quality.
You use DocuVigil understanding and accepting these limitations.
4. Data Privacy & Document Handling
Documents you upload are processed transiently to generate your audit. We do not sell, share, or use your document content to train AI models without explicit consent. Documents are encrypted in transit (TLS) and at rest (AES-256). See our Privacy Policy for full details.
5. Payments & Refunds
We use a payment authorization-first model. When you begin an audit, DocuVigil places a temporary authorization hold through secure third-party Stripe infrastructure. By design, we only capture (complete) the charge after your final audit is successfully delivered.
- Pricing is shown before you confirm.
- An authorization hold is not the same as a completed charge.
- If an audit fails before completion, we do not capture the payment.
- Depending on your bank, released holds may take additional time to disappear from your statement.
If you experience a technical issue, contact support and we will review it promptly.
6. Limitation of Liability
To the maximum extent permitted by law, DocuVigil and its affiliates shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of — or inability to use — the service, including any reliance on AI-generated analysis. Our total liability to you shall not exceed the amount you paid for the specific audit in question.
7. Acceptable Use
You may only upload documents you have the right to analyse. Do not upload documents subject to active litigation without your attorney's guidance, classified government materials, or documents obtained through unauthorised means. Misuse may result in immediate account termination.
8. Changes to Terms
We may update these terms periodically. Continued use of DocuVigil after changes constitutes acceptance of the revised terms. We will notify active users of material changes via email.
